Miroslava (Mika) Sharpe is an associate in the Corporate and Government Services group in the Firm’s Washington, D.C. office. She advises public authorities, developers, and lenders on complex infrastructure and public-private partnership (P3) transactions across a wide range of sectors. Mika also advises clients on federal procurement and government contracting matters.

Mika supports clients throughout the full lifecycle of P3 projects, from procurement and structuring through financial close and post-closing implementation. Her experience includes drafting and negotiating key project documentation such as exclusive negotiating agreements, project agreements, development agreements, long-term ground and facility leases, deeds, memoranda of understanding, licenses, and power purchase agreements. She also assists with the preparation of requests for proposals and other procurement-related materials.

In addition, Mika counsels clients on a wide range of issues related to doing business with the federal government, including compliance with the Federal Acquisition Regulation; drafting and negotiating teaming agreements, subcontracts, and joint venture agreements; and navigating federal procurement laws and regulatory requirements. Her experience includes advising on compliance obligations under federal contracts and grants, small business matters, and requirements under the Buy American Act and Trade Agreements Act. She regularly supports clients in addressing government contract compliance issues, contract changes, and other procurement-related matters, and works closely with in-house legal teams and business stakeholders to manage risk and support successful performance.

Further, Mika advises clients on privacy and data security risk management, including the development and implementation of privacy and data security policies and programs, privacy impact assessments, and regulatory monitoring. She supports clients in addressing privacy and data security issues in mergers, acquisitions, and other transactions, and in navigating federal, state, and regulatory compliance requirements across a range of industries.
