Ana-Maria advises clients on a broad spectrum of corporate matters and transactions, including general corporate matters, such as business entity selection and formation, corporate governance, day-to-day legal issues affecting privately held companies, and financings. A primary focus of Ana-Maria’s practice is advising clients in mergers and acquisitions (M&A), divestitures, and other strategic business transactions. She assists buyers, sellers, and investors throughout the transaction lifecycle including deal structuring, legal due diligence, drafting and negotiating transaction documents, coordinating financing, managing closing matters, and advising on post-closing obligations, and works closely with clients and multidisciplinary deal teams to facilitate efficient transactions. 

In addition, Ana-Maria has experience in counseling clients on and negotiating commercial real estate acquisitions, dispositions and leases, and tax credits transactions. Ana-Maria’s tax credits experience focuses on regularly representing clients in federal tax credits transactions and financings, including the purchase, sale, and transfer of eligible tax credits under Internal Revenue Code Section 6418, helping businesses, investors, syndicators, developers and other market participants to capitalize on transferable credit opportunities and benefits generated by renewable energy and historic rehabilitation projects throughout the country. She regularly assists with structuring, drafting, and negotiating tax equity and loan documents, conducts due diligence related to tax credit transactions, and works closely with clients and multidisciplinary deal teams to facilitate efficient tax credit transactions.
