Kutak Rock’s Institutional Investments Group assists public and private institutions in connection with private investments, including hedge fund, venture capital, private equity, fund-of-fund, and commingled real estate. In the past five years, the group has negotiated more than $10 billion in alternative investments covering nearly every asset class and strategy, and we document between $100 and $300 million in alternative transactions monthly. We negotiate alternative investments throughout the world, with particular experience in funds domiciled in offshore tax havens like the Cayman Islands.
Our clients include:
- Pension systems
- Sovereign wealth funds
- Private offices
We are experienced negotiators in the alternative investment space. We understand market terms and often contributed to establishing them. Members of the group have worked with the Institutional Limited Partners Association to establish the standard form of Limited Partnership Agreement used worldwide. Several members of the group are Board Certified Specialists in Real Estate and help firm clients obtain the best possible terms in commingled real estate transactions.
The group guides clients in all aspects of alternative investing, including manager investigations and fund due diligence. We regularly negotiate side letters and amendments to partnership agreements and subscription agreements designed to best protect our clients’ interests. We routinely form separate co-investment and secondary investment vehicles to assist clients to quickly seize such opportunities when they arise. The group also advises clients on the securities, tax and ERISA implications of their investments.
