We represent strategic buyers and sellers, private equity groups and their portfolio companies, entrepreneurs, family offices, founder- and family-owned businesses, boards of directors and their special committees, and financial advisors.

Over the past decade, our team has handled thousands of transactions with values up to $5 billion with average deal size ranging from $35 million to $75 million.

 

  • Represented RAIN Group, a U.S. based global sales training company, in its sale to Alchemist, a UK-headquartered learning and development company backed by Horizon Capital that specializes in leadership and management development and sales training. 
  • Represented the Firmament Group, a New York based private equity group, in connection with the acquisition of 100% of the equity interests in Whitecap Waste Holdings, LLC, one of the leading waste collection service companies in southern West Virginia, from Mollitiam Waste I, LP and Whitecap Waste, LLC.  
  • Represented Circana, a leader in market research, in its acquisition of Golf Datatech,LLC, a market research firm specializing in the golf industry.
  • Represented Arcane Capital Partners, LLC in its acquisitions of Petroflex North America and Wescon Plastics, both plastics manufacturers.
  • Represented Greenberg Fruit Company, a produce distribution company, in its asset sale to FreshEdge, a family of fresh food distribution companies backed by Wind Point Partners. 
  • Represented Roger, an industry leader in bulk agriculture commodity trucking technology and logistics, in an acquisition by Ever.Ag, a provider of AgTech software solutions and risk management services to agricultural supply chain customers.
  • Represented the National Trust for Local News, a national nonprofit dedicated to preserving and providing long-term sustainability for local news sources, in its asset purchase of The Portland Press Herald and four other daily and 17 weekly newspapers from Masthead Maine.
  • Represented Spokane Urology, P.S., a 10-physician urology practice, in its asset sale to Solaris Health Holdings, LLC.
  • Represented Cox Oil Company, Inc., a gasoline and convenience store company, in their asset sale to Tri Star Energy, LLC.
  • Represented Stone Bancshares, Inc. (“SBI”) and its subsidiary bank, Stone Bank, in a merger with MO/ARK Bancshares, Inc.
  • Represented Westrock Coffee Company (Nasdaq: WEST), a supplier of widely recognized beverage brands and solutions, in its acquisition of Bixby Roasting Co.
  • Represented STORE Capital Corporation, an internally managed net-lease real estate investment trust, in a $15 billion all-cash acquisition by GIC, a global institutional investor, in partnership with Oak Street, a division of Blue Owl. 
  • Represented First National of Nebraska, Inc. in its acquisition of Northland Capital Holdings, including its subsidiary Northland Securities, Inc.
  • Represented The Integris Group, Inc., the parent company of Innovize, LLC, in its equity sale to Vance Street Capital.
  • Represented Pitney Bowes (NYSE: PBI) in its acquisition of the presort assets of Skymail International.
  • Represented First National Bank of Omaha in its acquisition of the assets of SAF Holdings, LLC and its subsidiary, AmeriFirst Home Improvement Finance, LLC. 
  • Represented Printfection, an advanced enterprise swag management platform, in its equity sale to Custom Ink. 
  • Represented ConnectiveRx, a leading provider of software-enabled patient support and access solutions for specialty and branded medications, in its acquisition of Rx Savings Assistant® from Medicom Digital. 
  • Represented Zenwork, a leading provider of digital tax compliance and regulatory reporting software, in its $163 million minority equity interest sale to Spectrum Equity. 
  • Represented All American Pet Proteins, a specialty pet food protein processing company, in its asset sale to 3D Corporate Solutions. 
  • Represented First National Bank of Omaha in its acquisition of Western States Bank.  
  • Represented Grocery Order Tracking, Inc., a provider of technology solutions for independent grocers, in its equity sale to FMS Solutions.  
  • Represented a California-based physical therapy operator in the sale of the company’s assets to a physical therapy network operating in the western U.S. 
  • Represented Paymogy, LLC, a firm that advises, owns and operates SaaS businesses and start-ups across a variety of industries, in the acquisition of Linvio, Inc. 
  • Represented Positronic Industries, Inc., a U.S. manufacturing corporation with significant European and Asian subsidiaries, in a stock sale transaction to a Fortune 500 publicly traded company. 
  • Represented DTN, LLC in the acquisition of Iteris, Inc.’s Agriculture and Weather Analytics segment, composed of ClearAg and ClearPath Weather product lines. 
  • Represented Sage V Foods in the sale of its interests in two rice milling operations in Stuttgart, Arkansas to Producers Rice Mill, Inc.
