News | December 21, 2021

Kutak Rock partners Jon Schultz and Ken Witt recently authored the article “Immigration Due Diligence in M&A Transactions” for Bloomberg Law.

The article covers immigration-related issues in M&A transactions, including the need for executives and counsel to evaluate up front the immigration impact of an acquisition and whether to mitigate those impacts by revising the deal structure.

The authors provide extensive charts and checklists that examine by visa type the specific rules and requirements implicated by M&A transactions, as well as the impact that common M&A transaction structures have on visa workers.

Jon Schultz practices employment-based immigration law and assists clients in developing and implementing regulation-compliant immigration petitioning systems, including preparing J-1 waivers, H-1B, L-1, E-3, and other Non-immigrant visa petitions, preparing and filing PERM labor certifications, and filing Lawful Permanent Resident (green card) applications.

An experienced corporate and securities attorney, Ken Witt represents energy and technology companies and institutional clients in private equity, mergers and acquisitions and venture capital transactions.
