News | March 3, 2026

Kutak Rock attorneys Tim HarperDavid McDaniel and Cameron Hockle, assisted by numerous subject matter advisors, served as legal counsel to Crexendo, Inc. (Nasdaq: CXDO) in its $35 million acquisition of Estech Systems, LLC (ESI), a strategic transaction that strengthens Crexendo’s position in the cloud communications market and advances its path toward a $100 million annual revenue run rate.

The purchase price consisted of approximately $27.3 million in cash and $7.7 million in Crexendo common stock. ESI generated approximately $26 million in revenue in 2025 and supports more than 6,200 retail accounts and 75,000 seats nationwide.

Founded in 1987 and headquartered in Plano, Texas, ESI is one of Crexendo’s longest-tenured NetSapiens platform licensees. The acquisition is expected to enhance revenue, earnings and cash flow, while creating operational efficiencies through infrastructure consolidation and expanded cross-selling opportunities.

Kutak Rock advised on all aspects of the transaction, including structuring, negotiation and closing, helping position the combined company for continued growth and long-term value creation.
