Baird, Daniel, Edrich and McGill to Present at NABL Conference

Kutak Rock partners Adam Baird, Sisera Daniel, Matthias Edrich and John McGill will participate in "The Workshop," an annual public finance conference hosted by the National Association of Bond Lawyers. This year's event will take place September 18 - 20 at the Hilton Chicago hotel in Chicago, Illinois. 

Matthias Edrich will serve as a panelist for the "Trending Topics in Tax" panel, scheduled for Wednesday, September 18 from 4:15 to 5:30 p.m. (CT). The panel will cover:

  • Current federal tax issues
  • Recently released notices
  • Recent rulings
  • Regulations and/or other guidance

In order to address any late-breaking topics, the specific topics are subject to change.

Matthias advises clients on tax structuring of municipal and corporate debt transactions and financing-related section 501(c)(3) exemption matters. He has represented bank lenders and capital markets underwriters, government and corporate issuers, student loan lenders, large hospital systems, housing developers, energy and solid waste recycling companies, manufacturers and various types of section 501(c)(3) nonprofits.

Adam Baird will serve as the Chair of the Arbitrage and Rebate Panel for the NABL. He will present the "Listen Y'all it's Arbitrage" panel on Thursday, September 19 from 8:15 to 9:30 a.m. (CT). The topics discussed will include:

  • Arbitrage issues applicable to tax-exempt municipal bonds which have regained relevance in the context of a higher investment yield environment
  • Addressing issues related to the identification of gross proceeds
  • Providing a review of the various exceptions to yield restriction and payment of rebate
  • Examining common pitfalls in addressing these matters
  • Addressing arbitrage topics related to structuring transactions:
    • Investment strategies and considerations,
    • Identification of qualified hedging transactions,
    • Common issues in rebate compliance and computations and other post-issuance compliance matters

Adam is a member in the firm’s National Public Finance Tax Department. He focuses his practice on tax law, public finance, and various kinds of tax-exempt transactions permitted by Section 103 of the Internal Revenue Code.

Sisera Daniel is the Chair of The Multifamily Housing Panel, and will present "Multifamily Housing: Adjusting to a New Normal" on Friday, September 20 from 8:45 to 10:00 a.m. (CT). The discussion will cover the following topics:

  • Housing development strategies in the current market (including senior, affordable, “missing middle” and “workforce” housing)
  • Current issues in deal structures
  • The impact of the return of positive arbitrage
  • Issues relating to increasingly complex capital stacks and available sources of funds for housing developments
  • Emerging tax and disclosure issues in an environment of rising costs and volatile interest rates

Sisera routinely advises state and local housing finance agencies on single-family and multifamily transaction structures’ compliance with relevant federal, state and local securities, tax and other laws. She also represents state and local issuers and, on occasion, developers, on economic development, industrial development, non-profit, and higher education transaction structures.

Jack McGill will serve as a panelist for the "Single Family Housing Bonds Panel," to be presented on Friday, September 20 from 10:15 to 11:30 a.m. (CT). The conversation will cover the following topics:

  • The latest developments in the world of single-family housing bonds
  • Coverage of federal legislative efforts, impacts and analysis
  • The effects of current single-family financing structures
  • Any regulatory developments impacting lending programs
  • Other “hot topics” relating to single-family bonds

Jack conducts a federal tax practice advising clients on matters related to the federal tax treatment of municipal debt instruments. He has been involved in the federal tax analysis of a wide variety of financings, including financings for state and local governments, housing finance authorities, higher education institutions and 501(c)(3) organizations.
