Robert advises businesses, governmental entities and other clients on a wide range of tax, corporate and real estate matters. His practice includes counseling clients on the federal and state tax implications of complex business transactions, as well as mergers and acquisitions, entity formation, corporate governance, commercial contracts and real estate transactions.
Robert has experience advising municipal and private clients on tax and transactional matters involving tax increment financing (TIF) districts, Chapter 100 industrial development bonds and renewable energy projects. He also advises businesses, shareholders and other stakeholders on the tax consequences of mergers, acquisitions and other complex transactions.
His transactional experience includes drafting, reviewing and negotiating asset and stock purchase agreements, buy-sell agreements, operating and partnership agreements, commercial leases and other business contracts. Robert has also represented small and midsized businesses on corporate governance, commercial lending, securities, financing and general business matters including serving in an outside general counsel capacity.
