Associate

Will is an associate in the firm’s public finance group. He advises state and local issuers on the issuance of debt to fund housing, infrastructure and other public projects. Will’s has significant experience in assisting housing finance agencies and underwriters with the issuance of single-family mortgage revenue bonds, including compliance with relevant federal, state and local securities, tax and other laws. He also represents underwriters, banks and lenders with various other public finance matters. He has filled the role of bond counsel, issuer's counsel, trustee’s counsel, underwriter's counsel and disclosure counsel. Will also represents financial institutions with regard to financial and derivative products such as total return swap facilities.

In addition, Will also represents 501(c)(3) charitable organizations regarding governance, regulatory and compliance issues.

  • Bond Counsel to Pennsylvania Housing Finance Agency in connection with issuance of $296,855,000 aggregate principal amount of single family mortgage revenue bonds.
  • Bond Counsel to South Dakota Housing Authority in connection with issuance of $235,000,000 aggregate principal amount of single family mortgage revenue bonds, including $20,000,000 of variable rate demand obligations.
  • Underwriters’ Counsel in connection with the issuance of $350,000,000 aggregate principal amount of single family mortgage revenue bonds by the Utah Housing Corporation, including $76,665,000 of variable rate demand obligations.
  • Bond Counsel to Maine State Housing Authority in connection with issuance of $95,000,000 aggregate principal amount of multi-family housing revenue bonds.
  • Underwriters’ Counsel in connection with the issuance of $156,730,000 aggregate principal amount of multi-family housing revenue bonds by the California Housing Finance Agency.
  • Bond Counsel to Nebraska Investment Finance Authority in connection with the issuance of $30,000,000 aggregate principal amount of solid waste disposal revenue bonds.
  • Issuer and Borrower’s Counsel in connection with numerous IRS audits of tax-advantaged bonds, including audits in connection with small issue industrial development bonds, exempt facilities and municipal projects.
  • Bond and Underwriter’s Counsel for State, County, School District and other municipal tax-exempt bond issuances.
