Lisa Sarver to Present at NBI Seminar on Navigating Risk in Business Acquisitions
News | July 10, 2025Kutak Rock partner Lisa Sarver will be a featured presenter during the upcoming National Business Institute (NBI) seminar, “Red Flags and Deal Killer: How to Spot a Bad Deal When Buying a Business,” taking place on July 23, 2025. The program is designed to equip attorneys and business professionals with practical tools to identify high-risk elements in business acquisitions.
Lisa will lead the closing session of the day, at 4:15 p.m. (ET), focusing on managing risk in the face of financial misconduct and seller red flags. Her presentation will cover:
- Common tax compliance pitfalls, including unusual deductions and past liens
- Indicators of financial misconduct and questionable seller behavior
- Strategies to safeguard clients through indemnities, warranties, and escrow provisions
- Creative deal structuring techniques, such as earnouts and contingent payments
- Tips for negotiating effective exit clauses

As Co-Chair of the firm’s national Mergers & Acquisitions group, Lisa focuses her practice on the representation of public and private companies, and their boards of directors, in the areas of mergers and acquisitions, divestitures, recapitalizations, restructurings, financings and a wide range of corporate governance and other regulatory matters. She counsels board and independent committees on fiduciary duties, oversight of corporate transactions, the regulatory landscape, and governance standards. Lisa also has experience representing clients in private placements and other securities offerings.
