Kutak Rock recently represented Earth Sciences & Abatement, LLC (ESA) on its merger with 1 Priority Environmental Services, LLC (1 Priority), a Dallas-based provider of abatement, indoor air quality and decontamination services.

Founded and headquartered in Commerce City, Colorado, ESA provides a single-source solution for abatement, demolition and environmental remediation services across the Rocky Mountain and Midwest regions of the country. ESA performs services that include asbestos abatement, structure and infrastructure demolition, soil/water remediation, and consulting/value engineering. ESA’s clients represent a variety of end markets, including municipal, federal, commercial, education, healthcare, railroad, oil & gas, and power generation; and are served through a host of contractual arrangements, including numerous master service agreements.

Kory Mitchell, ESA’s Co-President, remarked, “Our merger with 1 Priority creates tremendous synergies between the companies. It is a win-win for our employees and clients alike. We look forward to growing geographically and adding some of our remediation service lines to their seven office locations. With Gary and his partners our company becomes one of the top firms in the country that provides turnkey environmental and demolition services in the Midwest, Rocky Mountains, Texas, and Southeast U.S.”

Kutak Rock partner Matthew McElhiney and attorney Peter Grandey advised ESA on the transaction.
