Gil Rosenthal and Joshua Kerstein, partners in the Denver office of Kutak Rock, presented on “Update - EB-5 Financing and Foreign Investors” at the Colorado Bar Association Business Law Institute on October 29, 2015.
Rosenthal’s presentation highlighted the basics of the EB-5 Immigrant Investor Program, history and recent program developments, regional centers discussion and other legal issues. Kerstein provided an overview of securities issues impacted by the EB-5 Immigrant Investor Program and recent SEC actions related to the program.
Rosenthal is a member of Kutak Rock’s EB-5 practice group and has a broad-ranging domestic and international corporate practice specializing in mergers and acquisitions, asset purchases, private equity investments and loan transactions. He works extensively with the structuring and formation of corporations, limited liability companies and other alternative entities for use in joint ventures, international transactions and other complex business arrangements.
Kerstein is also a member of Kutak Rock’s EB-5 practice group. He focuses his practice on corporate finance, securities, securitizations, student-loan finance and structured finance representing issuers, financial institutions, broker-dealers, investment firms and investment companies, other investment funds, investment advisors and others. He routinely assists clients in capital-raising activities, including debt, equity, structured finance, securitization, project finance and acquisition and disposition of cash-flowing assets. He also advises clients in corporate governance, compliance, registration, reporting and disclosure matters under the securities laws.
