Jeremy Williams to Co-Present CLE on Merchant Cash Advances

Kutak Rock partner Jeremy Williams will co-present a Richmond Bar Association CLE “Not a Loan (Wink): Merchant Cash Advances on Trial in Bankruptcy” on Monday, February 23 from 12:30 to 2:00 p.m. (ET). The session will present merchant cash advances (MCAs) through the lens of their applications in bankruptcy litigation and will cover the following topics:

  • How courts analyze the growing trend of reverse triangular merger arguments
  • Whether MCAs are true sales or disguised loans with particular attention to automatic stay, property of the estate, and priority disputes
  • Practical guidance for: 
    • Navigating litigation strategy
    • Documentation pitfalls
    • Emerging trends as MCAs increasingly collide with the bankruptcy code

Jeremy has served as primary counsel and co-counsel on numerous chapter 11 cases, including in pre-bankruptcy, bankruptcy and post-emergence capacities.
