John Schembari, Chair of the Employee Benefits and Executive Compensation Group at Kutak Rock, spoke Monday, March 11, 2019 at The American Society of Pension Professionals & Actuaries’ (ASPPA) Benefits Council in Detroit, Michigan.

Mr. Schembari focused his presentation on Mergers & Acquisitions, guiding attendees through important employee benefit risks in a merger, stock or asset sale, with special attention to challenges and potential issues related to transaction type and employee benefit plans offered. Mr. Schembari stated that “a proactive and diligent approach to employee benefits issues in mergers and acquisitions can best prepare buyers and sellers for a successful transition. Failure to consider employee benefit plans early in merger or acquisition talks can lead to the assumption of massive liabilities.”

Mr. Schembari concentrates his practice primarily in employee benefits, executive compensation, tax, corporate and privacy law. He works with private, public and governmental employers on their employee benefit plans and compensation programs.
