Redeployment of EB-5 investments implicates securities law issues that should be thoughtfully addressed up front and continually throughout the process when structuring EB-5 financings. The panelists provided a roadmap to help EB-5 stakeholders identify the common securities laws triggered in redeployment – i.e., investor consents and the Securities Act of 1933, the general partner/manager’s role and the Investment Advisors Act of 1940, and several other securities laws along the path to compliant redeployments.
