David is a partner in Washington, DC, counseling governmental agencies, businesses, non-profits and financial institutions in public finance transactions.

For over 20 years, David has counseled clients on transaction structuring and tax and securities laws pertaining to public finance transactions in a variety of sectors, including housing, health care, higher education and public infrastructure. He has represented governmental issuers, lenders and underwriters on numerous housing and mixed-use real estate developments in DC, Maryland and Virginia. He has also represented commercial and investment banks in financings of acquisitions and capital improvements for hospital, universities, utilities and state and local governments around the country.

Representative Experience

  • Bond counsel for the District of Columbia Housing Finance Agency, the Maryland Community Development Administration and the Housing Opportunities Commission of Montgomery County, Maryland in affordable and market-rate housing developments involving tax-exempt bonds or loans and low-income housing tax credits.
  • Underwriters’ counsel for tax increment financing (TIF) and special assessment bonds for housing and commercial development districts in Virginia.
  • Bond counsel and underwriters’ counsel in water and sewer utility financings for the Detroit Water and Sewerage Department, the Great Lakes Water Authority, the City of Chicago and Metropolitan Water Reclamation District of Greater Chicago. Worked on bonds issued to restructure debt of the City of Detroit as part of its plan of adjustment to exit bankruptcy.
  • Bond counsel and underwriters’ counsel for transportation and port infrastructure bonds issued by agencies in Maryland, Virginia and Ohio.
  • Counsel to bond issuers, borrowers, lenders and underwriters in healthcare financings for University Hospitals of Cleveland, MetroHealth System of Cuyahoga County, Dignity Health and Tower Health System.
  • Transactional counsel in two of the earliest “pay-for-success” or “social impact bond” transactions in the U.S. Negotiated and structured loans for social service programs to mitigate homelessness in Cuyahoga County, Ohio and Denver, Colorado.
