Public Finance/Real Estate Paralegal

This individual will provide direct support to department attorneys in connection with bond, loan, real estate and derivative transactions. As this position is in a transactional practice, the individual may need to be flexible to work additional hours as needed and light travel may be required.

PRIMARY DUTIES

  •  Prepare first drafts of basic documents, including resolutions, trust indentures, loan and real estate documents, offering and bond purchase documents, credit enhancement documents and liquidity facilities, and closing documents and opinions; revise the same at the direction of department attorneys
  • Coordinate distribution of documents to clients and other interested parties
  • Prepare and review due diligence checklists and monitor status of delivery of due diligence
  • Prepare closing certificates, opinions, UCC financing statements, document exhibits and closing memoranda and assist with document assembly
  • Coordinate required filings with federal, state and local regulators and administrative offices, including, without limitation, IRS filings and secured transaction filings
  • Facilitate and coordinate closings, including monitoring and confirming the execution and completeness of all financing and closing documents
  • Prepare closing transcripts
  • Monitor critical transaction dates and maintain master practice group transaction status and closing schedule
  • Develop and maintain databases of related offerings
  • Handle routine correspondence and client inquiries

  •  Demonstrated proficiency in computer skills, including knowledge of MS Office and other transaction facilitation software

Educational and Experience Qualifications

  • Bachelor degree or paralegal certificate from an ABA approved institution preferred
  • Five to eight years of previous experience in a public finance and/or real estate law practice
  • Notary public license
