Equity-based plans are an important means of attracting and retaining employees and executives. Our group has extensive experience developing and structuring stock-based compensation plans, including stock options (both qualified and nonqualified), restricted stock, phantom stock and stock appreciation rights plans, including plan design and taxation matters.

We provide our clients with detailed advice regarding tax matters and equity structures to assist our clients in determining whether an equity plan would achieve their benefits agenda. We assist our clients in drafting and restating equity plans and award agreements, review existing equity plans and award agreements for legal compliance, and provide guidance regarding the best practices under which equity awards may be granted. We review and analyze plans and grants with respect to the Internal Revenue Code, including Code Section 409A, compliance and avoidance.
