Our attorneys have been involved in a large number of securities offerings for thrifts and banks, initial and secondary offerings of common and preferred stock including the conversion of numerous thrifts from the mutual to stock form, and the issuance of a variety of debt securities. In addition, our firm’s structured finance and securitization practice encompasses a wide variety of transactions that consistently average in excess of billions of dollars annually. These transactions include securitization of single-family mortgage loans, commercial mortgage loans, credit leases, defaulted loans, automobile loans and leases, credit card receivables, health care receivables, home equity loans, equipment leases, insurance premium loans, small business loans and other assets. The structured finance practice has included the restructuring of large commercial real estate portfolios for financial institutions in the European Community. Offerings have consisted of domestic and international public offerings and private placements and include both secured debt and equity transactions, and the firm has represented issuers, underwriters, credit enhancers and others in these matters.
