Calvin’s practice is centered on the representation of lenders in public and project finance and counseling principals in general corporate work and foreign direct investment.

Calvin’s work in finance emphasizes intercreditor and subordination arrangements and covers a wide variety of credit products in tax-exempt and related financings, including direct purchases of bonds, letters of credit, commercial paper, and bridge and permanent loans. In the corporate arena, Calvin has significant experience guiding clients in structuring foreign direct investments in the U.S., including acquisitions, and advising foreign-owned U.S. subsidiaries on legal issues arising in their operations.

Public Finance
  • Advised on, negotiated and closed more than 70 direct purchases of tax-exempt and taxable bonds comprising an aggregate principal amount in excess of $1 billion.
  • Represented a subordinate lender in a $75 million corporate finance transaction involving complex sovereign guaranty, intercreditor and collateral issues.  
Business and Corporate
  • Advised directors, officers and managers of privately-held entities on risk management and contractual relationships vis-a-vis governmental authorities, key stakeholders, customers and vendors.
  • Negotiated acquisitions of operating companies in various industries.
  • Drafted a wide variety of business contracts and advised on related laws, including limited liability company and corporate law, secured transactions, employment and securities laws.
Health Care Finance
  • Counseled banks in structuring credit documentation, including master indentures and similar agreements with hospital group borrowers and reimbursement agreements for letters of credit.
  • Represented credit providers in project finance transactions involving proton therapy centers, including contractual relationships with equipment vendors, affiliated hospitals and various investors.
