David's practice is concentrated in the areas of secured lending and structured finance, including real estate-secured swaps and derivatives.

David, co-chair of the firm's Secondary Markets and Derivatives Group, focuses on affordable housing financing, opportunity zone finance, tax exempt bond securitizations and tax credit syndications, as well as other related financing products. He has experience representing institutional lenders, commercial and investment banks, syndicators, and investment funds, in the acquisition, disposition and financing of a variety of properties including affordable housing, healthcare facilities, industrial facilities and office and mixed-use buildings. In addition, David has served as workout counsel for financial institutions and has been involved in the restructuring and recapitalization of several distressed tax credit syndicators. 

  • Lead counsel to a national investment bank in connection with the restructuring of various tax credit portfolios for two major tax credit syndicators.
  • Counsel to institution guarantying tax credit portfolio with respect to workout of underlying property level financings.
  • Lead counsel to a national investment bank in connection with the workout and restructuring of numerous real estate-secured total return swaps.
  • Underwriter’s counsel in connection with the issuance of more than $500 million of preferred equity interests in partnerships owning tax-exempt bonds.
  • Counsel to several national financial institutions in connection with their purchase of more than $40 billion in tax-exempt bonds secured by multifamily and commercial projects.
  • Lead counsel to a national investment bank in connection with in excess of $100 million of bridge financing for 15 alternative energy projects under standard International Swaps and Derivatives Association (ISDA) documentation.
  • Lead counsel to a national investment bank providing guaranteed returns for tax credit syndications under standard ISDA documentation.
