Mr. Belitz is a partner in the Denver office of Kutak Rock LLP. He represents private and public companies in a variety of transactions with respect to securities law matters, corporate and real estate finance, offerings of equity and debt securities, structured finance and the organization of joint ventures, partnerships, strategic alliances and investment funds. Mr. Belitz represents real estate investment trusts and real estate financing companies and has been involved in billions of dollars of real estate financings and mergers and acquisitions. With over 40 years of corporate, corporate finance and real estate finance experience, Mr. Belitz guides his clients through complex transactions to efficient, successful and profitable results. Mr. Belitz’s representative transactions include:

  • Issuer’s counsel for several initial public offerings of common stock for real estate investment trusts listed on the New York Stock Exchange, commencing with their organization as start-ups.
  • Counsel to numerous real estate investment trusts and finance companies in connection with the financing and acquisition of commercial real estate and sale-leaseback transactions.
  • Represented real estate companies with partnership merger or roll-up transactions resulting in the creation of New York Stock Exchange-listed companies.
  • Represented various issuers and investment banks with respect to numerous project financings.
  • Counsel to start-up companies seeking venture capital and subsequent-stage financings.
  • Counsel to clients structuring transactions offered and sold to private investors and private and public pension plans.
  • Advised a variety of real estate financing companies in the creation and organization of numerous joint ventures and special purpose, bankruptcy remote entities in order to access the capital markets.
  • Represented a national real estate investment trust and assisted in the creation of the first asset-backed, master trust financing structure for a real estate financing company. 
  • Counsel to issuers of asset-backed and commercial mortgage-backed securities.
