The Kutak Rock UCC Group advises on all aspects of the Uniform Commercial Code (UCC), with significant expertise on matters arising under Article 8 (Investment Securities) and Article 9 (Secured Transactions). Our attorneys provide advice with respect to structuring secured transactions and analyzing legal requirements as they relate to commercial transactions of all sizes involving a wide spectrum of collateral types. Attorneys in our UCC Group regularly prepare and negotiate legal opinions with respect to the creation and perfection of security interests in collateral that arise not only under UCC Article 9, but those arising under non-UCC law as well. Our UCC Group’s ability to respond quickly, both in terms of analyses and execution, on a national basis has been especially helpful to those clients suddenly finding themselves involved in troubled loan workouts, bankruptcy reorganizations and in exercising rights and remedies generally. Beyond Articles 8 and 9, however, our UCC Group is routinely engaged to advise our clients in commercial law matters governed by other areas of the Uniform Commercial Code, including Article 2 (Sales), Article 2A (Leases), and Article 3 (Negotiable Instruments) commonly encountered in complex commercial transactions as well as to advise clients on how best to structure their transactions.
