The webinar, which was sponsored by Strafford Publications, Inc., was focused on preparing counsel for (i) conducting concurrent securities offerings pursuant to Regulation D and Regulation S under the Securities Act; (ii) handling liability and associated disclosure considerations; and (iii) drafting and negotiating purchase agreements and other ancillary documents. The program discussed recent SEC developments and guidance impacting concurrent offerings, particularly the SEC’s recent Solicitation Guidance.
