Mr. Henry is a partner in the public finance group of Kutak Rock LLP’s Denver office. He focuses his practice on complex public and private financing transactions involving tax-exempt bonds, new markets tax credits, low-income housing tax credits and other tax-incentivized financing tools. Mr. Henry has over 15 years of experience serving in a variety of counsel roles for all types of affordable housing multifamily private activity bond financings. In connection with New Markets Tax Credits financings, Mr. Henry represents qualified low-income community businesses (borrowers), community development entities and leverage loan lenders and has a strong familiarity with the unique structuring, tax and other issues which arise in these complex transactions. He also has extensive experience in tax-exempt financings involving other private activity bonds, governmental bonds and 501(c)(3) bonds, and regularly serves as bond counsel, developer’s counsel, bond purchaser’s counsel or disclosure counsel on such transactions. Having played a lead role in hundreds of transactions involving a broad range of tax-incentivized financing tools, Mr. Henry is uniquely qualified to identify and resolve issues, formulate documents, manage the transaction process and successfully close complex transactions incorporating a myriad of tax-exempt and tax credit financing sources.

Representative Experience:

  • Serving as Bond Counsel for numerous housing authorities, counties and other governmental issuers of tax-exempt multifamily housing bonds throughout the State of Colorado.
  • Representing a national affordable housing developer on acquisitions of affordable housing properties and equity interests in affordable housing partnerships.
  • Serving as leverage lender's counsel, CDE’s counsel and QALICB's counsel on New Markets Tax Credit financing transactions.
  • Representing a variety of banks, credit enhancers, liquidity providers and direct placement bond purchasers on governmental and private activity bond financings.
  • Structuring and documenting numerous securitizations of underlying tax-exempt and taxable securities.
  • Working with a start-up energy efficiency company in its efforts to maximize tax-incentivized financing options for its clients.
  • Guest lecturing on the topic of “Affordable Housing Finance” at The Wharton School of the University of Pennsylvania.
  • Speaker at Housing Colorado NOW Annual Conference, October 2014, "Utilizing Creative Financing Tools for Affordable Housing Mixed-Use Projects."
