Mr. Jellema is a partner in the Atlanta office. His practice is centered on the representation of lenders in public and project finance and counseling principals in general corporate work and foreign direct investment. His work in finance emphasizes intercreditor and lien subordination issues and covers a wide variety of credit products in tax-exempt and related financings, including letters of credit, direct purchases, commercial paper, and bridge and permanent loans. He has significant experience guiding clients in structuring foreign direct investments in the U.S. and advising U.S. subsidiaries of foreign entities on legal issues arising in their operations.

  • Counsel to a letter of credit provider in connection with the negotiation and structuring of a $475 million hospital receivables transaction.
  • Represented a third lien lender in a $75 million corporate finance transaction involving complex sovereign guaranty, intercreditor and collateral issues.
  • Advised principals of privately-held corporations and limited liability companies on how to implement their objectives in shareholder and operating agreements, relationships with stakeholders and general business contracts.
  • Negotiated master indenture and intercreditor relationships in healthcare, tribal, school and other financings for several of the ten largest U.S. banks.
  • Represented credit providers in project finance transactions involving proton therapy centers, including contractual relationships with equipment vendors, affiliated hospitals and various investors.
  • Performed disclosure work for corporate and public finance private placements.
